1. Acceptance of Terms
By accessing or using Subverzon's platforms, websites, or services ("Services"), including Helix and Nexar, you agree to be bound by these Terms of Service. If you do not agree, do not use the Services. These terms apply to all users, including visitors, registered users, and pilot participants.
2. Services Description
Subverzon provides cloud-based software platforms for broadcast operations, including but not limited to stream orchestration (Helix), broadcast graphics and automation (Nexar), and related tools. Services may include features in beta or pilot status, which are provided "as-is" and may be modified or discontinued at any time.
3. Eligibility & Accounts
You must be at least 18 years old or have the authority to bind your organization to use the Services. When creating an account or requesting access, you agree to provide accurate information and maintain the security of your credentials. You are responsible for all activity under your account.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not: (a) use the Services in any way that violates applicable laws; (b) attempt to gain unauthorized access to any part of the Services; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse-engineer, decompile, or disassemble any part of the Services; or (e) use the Services for any fraudulent or harmful purpose.
5. Intellectual Property
All content, features, and functionality of the Services — including software, text, graphics, logos, and trademarks — are owned by Subverzon or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Services without prior written consent.
6. Data & Content
You retain ownership of any content you submit through the Services. By submitting content, you grant Subverzon a non-exclusive, worldwide license to use, process, and store such content solely for the purpose of providing the Services. Subverzon handles personal data in accordance with our Privacy Policy.
7. Service Availability & Modifications
Subverzon strives to maintain high availability but does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice when possible. Beta and pilot features may be modified or removed without prior notice.
8. Payment Terms
For paid Services, pricing and payment terms will be communicated separately through service agreements. All fees are non-refundable unless otherwise specified in a written agreement. Subverzon reserves the right to adjust pricing with reasonable advance notice.
9. Limitation of Liability
To the maximum extent permitted by law, Subverzon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Subverzon's total liability for any claim arising from these Terms shall not exceed the amount you paid for the Services in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Subverzon, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
Either party may terminate these Terms at any time. Subverzon may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Services ceases. Provisions that by nature should survive termination will remain in effect.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or via email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
